SUMMIT JUNTO MEMBERSHIP AGREEMENT

This Agreement is designed to help ensure a safe environment for Summit Junto members to share, learn, and build meaningful relationships. All members must abide by the following policies, which herein comprise the Summit Junto Membership Agreement.

The fundamental Membership Agreements of Summit Junto are listed below.

Confidentiality - as the foundation of the trust needed to create a safe space for myself and my fellow members to show up fully and openly. This means that anything another member shares is their property and belongs entirely to them and anything I share belongs to me. As part of your onboarding, you will learn the rules surrounding the different types and use of confidential information. The most basic and safest rule about sharing information from another is, if in doubt: No one, Nothing, Never.

Commitment - Commitment to this community and the choice to make this process a high priority in my life. This means I will make whatever arrangements needed to fully participate at my meetings so that I can give my time, presence and dedication to my Summit Junto Forum and this community. This means being punctual, fully present and participatory in all Forum meetings.

Respect - Respect both for myself and my fellow Summit Junto members as we come from different backgrounds, cultures, ethnicities, races and life experiences. This means that I will be open to different perspectives and continue to evolve and expand my own points of view. I will not harass anyone sexually, verbally or otherwise. I will not discriminate based on race, gender, sexuality, etc. I will not solicit members unless invited to do so.

Curiosity - Curiosity as a pathway for my own growth in this experience, showing that I am open to learning from and with my Summit Junto Forum and the global Summit Junto community. This means I am willing to actively listen to my fellow members with curiosity and be open to the unknown, both internally and externally. I accept and embrace the diversity of perspectives across the Summit Junto community.

Reciprocity - We believe in paying it forward. The more I invest with my whole self, the more self transformation and discovery occurs. This community thrives because members are willing to contribute their expertise, time, and resources to help others in the community. A rising tide raises all ships.

As a community, we are constantly learning, unlearning, and growing. Together, we maintain trust and safety by holding clear boundaries and committing to the Membership Agreement. Members must affirm each year that they understand and commit to the Membership Agreement. Violations of this agreement, including breaking confidentiality, may result in a loss of Forum access and benefits without a refund.

Summit Junto Forum

Summit Junto Forum is a transformative experience that runs on a 6-month cycle and is designed to be a multi-year journey. Upon joining, you commit to the following:

  • Be fully present with your Group for at least the first 6-month cycle of this journey.
  • Show up fully, authentically, and respectfully with my Forum, even if members of my Forum have different backgrounds, perspectives, experiences, personalities or geographic locations.
  • Be on time, courteous, and use the meetings to your full advantage. Be mindful that your “full advantage” does not include solicitation or requests for funding or business from the Summit Junto community.
  • Attend all Summit Junto Forum meetings on time and fully present.
  • Attend the Cohort Opening Plenary to initiate your Forum experience
  • Travel once a year for my Forum retreat and to contribute to my Forum’s agreed retreat fees.

To maintain your good standing in Summit Junto Forum, it is vital that you proactively participate as outlined above. Breaking any of the commitments above may result in the loss of your Forum access and benefits without a refund.

You are responsible for your own experience within your Forum and within the Summit Junto community. Summit Junto is not responsible for pairing you with a new Forum based on a change of heart, opinion, or life circumstances.

You will kick off your Summit Junto Forum experience with an Opening Plenary. The Opening Plenary will set the tone for the journey ahead. In this session, we will establish expectations, onboard you to the new experience, train you in what makes a successful Summit Junto Forum experience, and introduce you to your Cohort—the larger group of people who are on boarded into the Summit Junto Forum at the same time as you.

In addition to setting proper expectations, the intention of these experiences is to foster more connections outside of your smaller Summit Junto Forum. Attendance at the Opening Plenary is mandatory to participate in Summit Junto Forums.

Costs & Payment

As a condition of your membership, you will provide full payment upon registration. Membership fees are non-refundable.

Membership runs on a 6-month cycle, and you are unable to cancel your membership mid-way through a cycle. Your membership renews automatically with the method of payment on file every 6 months; this is referred to as your renewal cycle which begins with your Opening Plenary. If you do not want to renew your membership, you must provide at least 30 days notice to Summit Junto by sending an non-renewal email to hello@summitjunto.co.

Not showing up to Summit Junto Forum meetings or breaking any of the Member Agreements may result in the loss of your Forum access and benefits without a refund. Forum cancellation decisions are at the full discretion of Summit Junto.

If you elect to pay for your Summit Junto Forum fees through a payment plan, failure to pay a payment on time may result in the loss of your Forum access and benefits without a refund and you may be at risk of being excluded from future Summit Series events. Even if you cancel or lose your Forum access while on a payment plan, you are still responsible to pay the full amount of Forum fees.

Summit Junto facilitators are busy humans and have set aside their time to be with your Forum. Out of mutual respect for one another, canceling a facilitated session with less than 48 hr notice to the Summit Junto team will result in the session being forfeited.

Unless we provide otherwise, you are responsible for all your own costs and expenses associated with participating in a Summit Junto Forum. If there are unexpected costs that place a significant financial burden on you to the point of not being able to participate in Summit Junto, we expect you to reach out to hello@summitjunto.co, and we will coordinate a call to discuss.

Some in person events such as Retreats, salons, dinners, in person workshops, etc. have a separate fee required to participate. You are required to pay for these events up front before your attendance is confirmed. Event fees are non-refundable but your spot can be delegated to another active Summit Junto member in good standing.

By joining as a Summit Junto member, you confirm that you are at least 18 years old, you are not barred from participating in Summit Junto for any reason, and you will continue to meet all eligibility criteria we require.

At all times, you will provide only true, current, and complete information and you will be responsible for all actions associated with your membership and maintaining all accurate information while a Summit Junto member.

Duration

Your Summit Junto onboarding will begin on the date you pay your Forum fees. You must complete your curation interview in a timely manner in order to be placed into a Forum and launch with the next Cohort.

Your Summit Junto Forum experience will begin on the date of your Cohort launch, which starts with an Opening Plenary. This experience runs on a 6-month cycle and is designed as a multi-year journey.

Of course, your participation in Summit Junto Forum is voluntary. If you elect to not continue on with your Summit Junto Forum, you may do so by sending a non-renewal email to hello@summitjunto.co 30 days before the end of your 6-month cycle.

It is possible that your journey with Summit Junto could be interrupted by Acts of God, force majeure occurrences, including widespread health crises or government orders. Owing to this being out of our control, and as stated in our Terms of Service, your benefits under this Membership Agreement are not dependent on the foregoing issues.

Your breach of any part of this Member Agreement may result in the loss of my Forum access without a refund. Upon the expiration or termination of your Forum access, you agree that the provisions of The Legal Stuff section below will survive indefinitely.

Conduct: Community Guidelines regarding complaints, discrimination, harassment or retaliation

We expect members to embody the values, goals, agreements, and principles of Summit Junto. This means you will treat your group, the Summit Junto community and representatives, and all people involved in Summit Junto with respect, courtesy, and kindness.

We do not tolerate nor condone inappropriate, disrespectful, or illegal behavior of any type by anyone. If you have a concern about another member’s conduct or believe a member has violated Summit Junto’s rules or policies for complaints, discrimination, harassment or retaliation as specifically explained in our Terms of Service, you have an obligation to raise your concern immediately and to contact a designated Summit Junto leader via sanctuary@summit.co. We rely on you to help keep our membership a safe and respectful organization.

The Legal Stuff

FIRST LESSON IN SUMMIT JUNTO: DON’T RUSH THOUGH THE LEGAL LANGUAGE. ALWAYS READ IT THOROUGHLY. THERE IS IMPORTANT INFORMATION IN THIS SECTION REGARDING YOUR OBLIGATIONS AND LIMITED RIGHTS. BY ACCEPTING THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ THROUGH, UNDERSTAND, AND ACCEPT THE TERMS OF THIS AGREEMENT AND THE FINE PRINT, INCLUDING THE FOLLOWING:

Indemnification

You agree to indemnify, defend, and hold Summit, its officers, directors, employees, contractors, mentors, speakers, attendees, and representatives, and other Summit Junto members (collectively, “Summit Parties”) harmless from any claims, liabilities, obligations, damages, costs, and expenses (including reasonable attorneys’ fees and expenses) resulting from your negligence, willful misconduct, or breach of this Agreement.

Confidentiality and Nondisclosure

Member agrees that (SHE/HE) may not disclose the terms and conditions of their Membership Agreement, including the amount discounted or any offers made under their Membership Agreement to any person or entity, except as may be lawfully ordered by a court of competent jurisdiction.

No Warranty

We have not made, will not make, and hereby expressly disclaim any representations or warranties, express or implied, regarding Summit, Summit Junto, your group, or the results, whether monetary or otherwise, of your membership in Summit Junto, including without limitation any representations or warranties that participation in Summit Junto will result in any particular amount or level of business or career success or failure.

Limitation of Liability

To the fullest extent permitted by law, (1) we will not be liable for any damages in connection with this Agreement, including but not limited to direct, consequential, special, indirect, punitive, exemplary, or incidental damages, even if we have been advised of the possibility of such damages, and (2) you hereby knowingly and voluntarily accept all risk to your health, well-being, and tangible and intangible property and of your injury or death that may result from participating in Summit Junto, and you release Summit Parties from all liability to you and your personal representatives, estate, heirs, next of kin, and assigns for all causes of action for loss of or damage to your property and for all illness or injury to you, including your death, that may result from or occur during your participation in Summit Junto.

Ownership, Licenses, & Usage

We own all intellectual property associated with or created or provided by Summit Junto in connection with your membership. This includes Summit Junto’s trademarks, licenses, and feedback. You do not have the right to use, distribute, or modify any of our rights unless we specifically authorize you to do so. You own and are responsible for content that you make available through Summit Junto, and this must be compliant with laws, our Membership Agreement, and cannot infringe on anyone else’s rights. We may use your content at our reasonable discretion and with your consent. Everything in this Agreement is governed by applicable law (including everything you do, post, create, or discuss).

Assignment

The membership granted under this Agreement is personal to you and may not be assigned, in whole or in part, to any other person or party.

Arbitration & Disputes

You should feel able and encouraged to come to us with any questions, concerns, and feedback you may have during your membership. If there is a dispute or controversy, we agree to work with you in good faith to find a mutually agreeable resolution and this may involve mediation. Any disputes arising hereunder shall be governed by the laws of the State of New York and shall be resolved under binding arbitration in New York, New York. You agree that your sole and exclusive remedy will be to engage in arbitration that shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures with us and any Summit Parties. Arbitration will be binding and on an individual basis. This means you will not have, and you will waive, the right to proceed in a class or consolidated capacity and that a judge or jury will not decide your claims.

Severability

The illegality, invalidity, or unenforceability of any provision of this Agreement (as determined by a court of competent jurisdiction) shall not affect the legality, validity, or unenforceability of the remaining provisions, and this Agreement shall be construed in all respects as if any illegal, invalid, or unenforceable provision were omitted. This Agreement encompasses our and your entire understanding and agreement with respect to Summit Junto and supersedes all earlier discussions, understandings, or agreements between us.

We reserve the right to change the Member Agreement from time to time. Any updates to the Member Agreement shall be communicated to you. You acknowledge your responsibility to review the Member Agreement from time to time and to be aware of any such changes. By continuing to participate in Summit Junto after any such changes, you accept the Member Agreement, as modified.

Other Agreements

You must comply with our ground rules. These include this Membership Agreement, Terms of Service(https://summitjunto.co/legal/summit-junto-terms) and Privacy Policy(https://summitjunto.co/legal/summit-junto-privacy-policy) including our confidentiality expectations, all of which are included in this Membership Agreement by reference (collectively, the “Fine Print”), as well as any rules and requirements designated by your group or elsewhere by Summit Junto.
